WORKLOADWALL END USER LICENCE AGREEMENT
Local / On-Premises Software
1. AGREEMENT AND ACCEPTANCE
This End User Licence Agreement ("EULA") is a binding agreement between DAGAZ LLC, a Wyoming limited liability company ("DAGAZ"), and the person or entity identified as the licensee in the applicable purchase record, receipt, or licence key ("Customer"). It governs Customer's installation and use of the local/on-premises editions of WorkloadWall and the related documentation (collectively, the "Software").
By selecting an "I agree" or equivalent affirmative acceptance control when this EULA is presented during checkout, installation, first run, or following a material revision that requires renewed acceptance, Customer agrees to be bound by it. If the individual accepting this EULA acts for an organisation, that individual represents that he or she is authorised to bind the organisation. If Customer does not agree, Customer must not install, activate, or use the Software and may request any refund available under the WorkloadWall Refund and Cancellation Policy.
2. DEFINITIONS
"Agent" means a staff user account that signs in to manage work in the Software. A person who only submits or follows a request as a requester is not an Agent.
"Customer Data" means tickets, requester information, attachments, mailbox content, settings, projects, Jobs records, and other data that Customer places in or generates through the Software.
"Edition" means the WorkloadWall edition encoded in Customer's licence key or otherwise identified in Customer's purchase record.
"Jobs" means the optional annual WorkloadWall Jobs add-on, when purchased and encoded in Customer's licence entitlement.
"Major Version" means the numbered major release family covered by Customer's licence, such as version 1.x.
"Site" means one building or campus at which one production installation of the Software is hosted.
3. LICENCE GRANT
Subject to payment of the applicable licence fee and compliance with this EULA, DAGAZ grants Customer a perpetual, non-exclusive, non-transferable licence to install and use the Major Version of the Software identified in Customer's licence key, within the limits of the Edition purchased. "Perpetual" means that the base licence has no scheduled expiry date; it remains subject to the termination provisions of this EULA.
The licence authorises one production installation at a time. Customer may move that installation to replacement hardware, provided the prior production installation is no longer used under the same licence key. Customer may keep reasonable backup copies that are not used as separate production installations. Requesters are unlimited, require no account, and are not counted as Agents.
4. EDITION AND SITE LIMITS

Edition | Agent limit | Mailbox limit | Installation / Site limit
Solo | 1 Agent | 1 mailbox | One production installation
Local Lite | Up to 10 Agents | 1 mailbox | One production installation at one Site
Local Standard | Up to 25 Agents | Up to 3 mailboxes/folders | One production installation at one Site
Local Pro | Unlimited Agents | Unlimited mailboxes/folders | One production installation at one Site

Customer may use only the capacity and features made available by the Edition purchased. Staff browser sign-in from outside the building is a Local Pro entitlement. Phone app pairing and core phone features are available on each paid Edition; Jobs-specific phone features require an active Jobs entitlement. Import from another system is available on Local Standard and Local Pro; AI intake is a Local Pro entitlement. Jobs customer links may be used on a paid Edition with active Jobs. Edition limits apply even if the Software is technically capable of accepting a key on additional hardware.
5. TRIAL
A new installation may be used for a full-featured 30-day trial. No purchase or payment card is required. When the trial ends, the Software becomes read-only until a valid licence key is entered. Customer Data is not deleted merely because the trial expires. Continuing read-only access permits viewing and exporting existing Customer Data but not ordinary paid operational use.
6. UPDATES, UPGRADES, AND MAJOR VERSIONS
Updates released within Customer's licensed Major Version are included without an additional licence fee. The update method may differ by operating system or deployment method. A new Major Version is a separate product unless DAGAZ expressly states otherwise. Customer may continue using the licensed Major Version. When DAGAZ releases the next Major Version, an owner of the current licensed Major Version may purchase that next Major Version at 50% of its then-current licence price, unless DAGAZ offers a more favourable price.
Moving to a higher Edition requires the applicable upgrade purchase. Upgrade credit is based on the list price of the Edition currently held, excluding taxes. A promotional discount on the earlier purchase does not reduce that credit. Refunded purchases earn no upgrade credit. A replacement key may reflect the higher Edition; the prior key does not authorise an additional production installation.
7. RESTRICTIONS
Customer must not:
use one licence key for more than one production installation at the same time, or for more than one Site where the Edition is licensed per Site;
exceed the Agent, mailbox, Site, feature, or other limits encoded in the licence key or stated for the Edition purchased;
sell, resell, sublicense, rent, lease, distribute, or provide the Software as a hosted service for third parties, except under a separate written agreement with DAGAZ;
share a licence key outside Customer's organisation or publish it;
bypass, disable, alter, or interfere with licence enforcement or other technical restrictions;
reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, except to the limited extent applicable law expressly permits notwithstanding this restriction; or
remove or obscure proprietary notices included in the Software.
8. OWNERSHIP AND CUSTOMER DATA
The Software is licensed, not sold. DAGAZ and its licensors retain all right, title and interest in the Software, documentation, release materials and related intellectual property. Customer retains its rights in Customer Data. Under ordinary local-install operation, Customer Data is stored on systems Customer controls. DAGAZ does not acquire ownership of Customer Data.
Customer is responsible for deciding what data to place in the Software, obtaining required permissions or notices, configuring access appropriately, and maintaining backups suitable for Customer's needs.
9. CUSTOMER SYSTEMS AND THIRD-PARTY SERVICES
The Software runs on hardware, operating systems, networks and services selected or controlled by Customer. Certain functions operate only if Customer connects or enables third-party services, including email, AI, remote-access or off-box backup providers. Customer's use of those services is subject to the third party's terms and privacy practices. Data intentionally routed to a third-party service at Customer's direction is no longer confined to the local WorkloadWall host. The Software may perform update checks as described in the Privacy Policy. Licence verification itself is local and does not require an online licence server.
10. SUPPORT AND ANNUAL SERVICES
Best-effort email support is included with a base licence. Any stated response target is a service target, not a guaranteed service-level agreement, unless DAGAZ expressly agrees otherwise in writing.
Priority Support and Jobs are separate annual services when purchased. For direct purchases, they may renew automatically as disclosed at checkout until cancelled. The applicable price, billing frequency, renewal date, cancellation method and refund rights are governed by the purchase record, Terms of Service and Sale, and Refund and Cancellation Policy. Cancellation, lapse or refund of Priority Support or Jobs does not terminate the perpetual base Software licence.
11. JOBS EXPIRY AND OFFLINE RENEWAL
Jobs entitlement is carried in the signed licence key and is verified offline. For a direct annual renewal, DAGAZ sends a renewed signed key by email; an administrator must apply that key in Admin -> License. The Software does not automatically fetch a renewed key. After the Jobs paid-through date, a 30-day grace period applies. During grace, Jobs remains operational. After grace, creating and editing Jobs work is disabled, while previously created Jobs records remain readable and exportable. A Jobs lapse does not delete those records or affect the base Software licence.
12. REFUNDS AND EFFECT ON ENTITLEMENTS
Refund eligibility and procedure are governed by the WorkloadWall Refund and Cancellation Policy. If DAGAZ refunds the base Software licence fee, the paid base licence terminates when the refund is issued and Customer must stop paid operational use. If DAGAZ refunds an annual Priority Support or Jobs charge, the contractual entitlement associated with the refunded annual period ends; any earlier paid-through entitlement remains unaffected.
Because licence verification is offline, a refunded or superseded key may remain technically capable of operating. Continued technical operation does not preserve or recreate licence rights. DAGAZ may mark a key refunded or revoked in its records, refuse to reissue it, and refuse to accept it as upgrade credit. After base-licence termination, Customer may retain Customer Data and has a limited permission to use the Software only to the minimum extent reasonably necessary to view and export data that existed before termination.
13. TERM AND TERMINATION
The base licence continues perpetually unless terminated under this EULA or by a refund as described above. DAGAZ may terminate by written notice if Customer materially breaches this EULA and does not cure the breach within 30 days after receiving notice describing the breach. If a breach cannot reasonably be cured, termination may take effect when notice is received.
Upon termination, Customer must stop use not permitted by the surviving limited data-access permission and must not use the licence key to activate another installation. Customer's ownership of Customer Data is unaffected. Provisions that by their nature should survive, including ownership, restrictions, warranty disclaimers, liability limits, indemnity, governing law and limited post-termination data access, survive.
14. WARRANTY DISCLAIMER
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY EXPRESS COMMITMENT THAT DAGAZ CANNOT LAWFULLY DISCLAIM, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." DAGAZ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
DAGAZ does not warrant uninterrupted or error-free operation, compatibility with every customer environment, or that any system can be made secure against every threat. Nothing in this section limits a non-waivable right or an express contractual refund right.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAGAZ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA, EVEN IF DAGAZ HAS BEEN ADVISED THAT SUCH LOSS MAY OCCUR.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAGAZ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE AMOUNT CUSTOMER PAID DAGAZ FOR THE SOFTWARE LICENCE THAT GAVE RISE TO THE CLAIM. These limits do not apply where liability cannot lawfully be excluded or limited and do not reduce an express refund right.
16. CUSTOMER INDEMNITY
Customer will indemnify, defend and hold harmless DAGAZ and its officers, directors, employees, contractors and affiliates from and against third-party claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs and reasonable attorneys' fees arising out of or relating to: (a) Customer Data that infringes, misappropriates or violates a third party's intellectual-property, privacy, publicity or other rights, or that Customer was not lawfully entitled to collect, use, store or disclose; (b) Customer's use of the Software in violation of this EULA or applicable law; or (c) a third-party service or integration selected by Customer, but only to the extent the claim results from Customer's configuration, instructions, credentials, data or use of that service or integration. This obligation does not apply to the extent a claim results from DAGAZ's breach of this EULA, gross negligence, willful misconduct, or infringement by the unmodified Software.
DAGAZ will give prompt notice of a claim for which it seeks indemnity, except that delay relieves Customer only to the extent of material prejudice. Customer may control the defence and settlement with counsel reasonably acceptable to DAGAZ. DAGAZ may participate with counsel of its choice at its own expense. Customer may not settle in a manner that admits fault by, imposes an obligation on, or fails to provide an unconditional release to DAGAZ without DAGAZ's prior written consent. DAGAZ will provide reasonable cooperation at Customer's expense.
17. COMPLIANCE WITH LAW
Customer must use the Software in compliance with applicable law and is responsible for its own obligations concerning requester information, staff access, retention, backups, remote access, connected mailboxes, Jobs transactions, and any third-party AI or cloud service Customer enables.
18. EXPORT CONTROLS AND SANCTIONS
Customer must comply with applicable United States export-control and economic-sanctions laws and regulations, including the Export Administration Regulations and sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control. Customer must not export, reexport, transfer, release, provide or otherwise make available the Software or related technical data, directly or indirectly, to a destination, person, entity, end user or end use prohibited by applicable law, or without any authorisation required by law. Customer is responsible for obtaining required licences or authorisations and represents that it is not a person or entity with whom DAGAZ is prohibited from doing business. DAGAZ may suspend or refuse performance to the extent reasonably necessary to comply with applicable export-control or sanctions requirements.
19. GOVERNING LAW AND VENUE
This EULA is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Except to the extent applicable law gives Customer a non-waivable right to proceed elsewhere, any dispute arising out of or relating to this EULA or the Software must be brought in the state courts located in Sheridan County, Wyoming, or, if federal jurisdiction exists, in the United States District Court for the District of Wyoming. Each party consents to personal jurisdiction in those courts.
20. ASSIGNMENT
Customer may not assign or transfer this EULA or a licence key to another person or entity without DAGAZ's prior written consent. DAGAZ may assign this EULA in connection with a merger, reorganisation, sale of substantially all relevant assets, or transfer of the WorkloadWall business.
21. GENERAL TERMS
Entire agreement and order of precedence. This EULA governs use of the Software. The applicable purchase record and WorkloadWall Terms of Service and Sale govern price and purchase mechanics, and the Refund and Cancellation Policy governs refund eligibility and procedure. If there is a direct conflict, a specific written term in the applicable purchase record controls transaction-specific details; this EULA controls Software-use rights; and the Terms of Service and Sale control purchase mechanics.
Changes. DAGAZ may revise this EULA for future purchases, future Major Versions, newly offered services, or where a material revision is presented for renewed affirmative acceptance. A revision does not retroactively change a Major Version licence already purchased unless Customer affirmatively accepts the revision or applicable law permits the change.
Notices. Customer may send legal or contractual notices to contact@workloadwall.com or 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801. DAGAZ may send notices to the email address associated with Customer's licence record.
Severability. If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
